Carl Esser is Of Counsel at the Erb Law Firm, P.C.
Prior to joining our team, Carl was a long-time partner in the Philadelphia Office of Reed Smith LLC, one of the largest and most prestigious law firms in Pennsylvania. He joined Reed Smith upon graduation from law school in 1967 and for many years served as regional head of the firm's Business and Finance Department.
Carl's practice is devoted to advising business and non-profit organizations. He has an extensive background in counseling business enterprises in their formation, structure and operations and in the fields of securities, lending/borrowing and mergers and acquisitions.
In the securities area, Carl has represented issuers and underwriters in securities offerings ranging in size from small private placements to large national offerings. In the smaller offerings, he has contributed substantially to the structuring of the offerings and assisting in the sales effort.
Carl also practiced in the lending/borrowing area and serves as counsel to both borrowers and institutional lenders. He has been lead counsel for a group of public companies, acting in concert, in a large highly complex borrowing transaction.
Carl has participated in numerous mergers and acquisitions, both friendly and hostile, including representing publicly held clients in contested takeovers before the Pennsylvania Securities Commission.
Representative clients include large banks, publicly-owned utilities, real estate and manufacturing companies, federal and state government agencies, major railroads, and various types of for-profit and non-profit healthcare providers.
Carl is a Member of the Board of Directors of the German American Chamber of Commerce in Philadelphia, and Chairman of the Board of Directors of Octavia Hill Association , Inc., a Philadelphia-based owner of several hundred houses rented to low and moderate income families. He also served a six-year term as a Board Member of the Pennsylvania Lawyers Fund for Client Security, the last year of which was as Chairman.
Carl is a 1967 graduate of the University of Michigan Law School and a 1964 graduate of Princeton University, receiving his undergraduate degree in economics. He is listed in both Who’s Who in America and Who’s Who in American Law, and has received an AV peer review rating in Martindale Hubbell.
Carl and his wife , Barbara, have three grown children. He enjoys golf and skiing.
