Structuring Business

  • Structuring and forming corporations for entrepreneurs and international clients, including German, Czech and Australian clients, in Pennsylvania, Delaware, New Jersey, South Carolina and elsewhere;

  • Preparing the necessary documentation to ensure that private offerings comply with applicable state and federal securities laws for two internet based corporations;

  • Drafting and reviewing employment contracts, noncompete agreements, and employee handbooks for a US subsidiary of a German corporation;

  • Drafting and reviewing shareholders agreements, stock purchase agreements, and related financial notes for buyers and sellers of shares in both computer based and non-computer based companies;

  • Recapitalization and reorganization of a successful restaurant, a translation service company, and an Internet-based service company;

  • Assisting a German company in all aspects of starting business in the United States. including recruiting and hiring employees, choosing other professional advisors, locating suitable office space, and local assistance in emergencies;

  • Managing the dissolution and withdrawal of unused or merged corporations;

Operating Business

  • Drafting and reviewing non-compete, nondisclosure, confidentiality, and other agreements for both domestic and international companies;

  • Reviewing the status of independent contractors at a language training company to ensure compliance with IRS regulations on employees vs independent contractors;

  • Advising a corporation on the status of workers as exempt or nonexempt under the Fair Labor Standards Act and on ensuring that workers do not lose exempt status;

  • Drafting promissory notes;

  • Drafting and reviewing commercial and residential leases;

  • Drafting board and shareholder resolutions and maintaining company minute books.

International Transactions

  • Providing comprehensive advice on the taxation of international transactions between the United States and several different countries, including the UK, Germany, Italy, and Australia;

  • Drafting and reviewing distribution agreements with the European distributors of a large US manufacturer and with an Italian manufacturer of furniture developing a distribution network in the United States.

Internet-Based Companies

  • Drafting web site privacy policies, terms of service, disclosures, and click-through agreements for a number of Internet-based service companies.
